1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OLAMI NET LLC ("OLAMI," "Company," "we," "us," or "our") governing your access to and use of our website, mobile applications, APIs, and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Eligibility

To use our Services, you must:

• Have the legal capacity to enter into a binding agreement

• Not have been previously suspended or removed from our Services

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you individually and that organization.

3. Account Registration and Security

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, outdated, or incomplete. You may not transfer your account to any other person or entity without our prior written consent.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, servers, or networks
• Use the Services to transmit any advertising or promotional material without our prior written consent
• Collect or harvest any personally identifiable information from the Services
• Use the Services for any commercial purpose not expressly permitted by us
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services

5. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by OLAMI, its licensors, or other providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The OLAMI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of OLAMI or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:

• Modify, copy, or create derivative works based on the Services
• Sell, resell, license, or commercially exploit the Services
• Remove any copyright, trademark, or other proprietary notices
• Frame or mirror any portion of the Services

6. User Content and Contributions

Our Services may allow you to submit, upload, publish, or otherwise make available content, including but not limited to text, photographs, videos, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and OLAMI's business operations.

You represent and warrant that:

• You own or control all rights to the User Content you post
• Your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights
• Your User Content complies with these Terms and all applicable laws

We reserve the right to remove or refuse to post any User Content for any reason at our sole discretion, without notice.

7. Third-Party Services and Links

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by OLAMI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that OLAMI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit.

8. Payment Terms

Certain aspects of the Services may be provided for a fee. If you elect to use paid features of the Services, you agree to the pricing and payment terms as we may update them from time to time.

• All fees are exclusive of applicable taxes, which you are responsible for paying
• Fees are non-refundable except as expressly set forth in these Terms or as required by applicable law
• We may change our fees at any time with reasonable notice to you
• You authorize us to charge your designated payment method for all fees incurred
• If payment is not successfully processed, we may suspend or terminate your access to paid features

9. Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER OLAMI NOR ANY PERSON ASSOCIATED WITH OLAMI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

WITHOUT LIMITING THE FOREGOING, NEITHER OLAMI NOR ANYONE ASSOCIATED WITH OLAMI REPRESENTS OR WARRANTS THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

OLAMI HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

Some jurisdictions do not allow the exclusion of warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OLAMI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• PERSONAL INJURY OR PROPERTY DAMAGE
• LOSS OF REVENUE, PROFITS, BUSINESS, OR ANTICIPATED SAVINGS
• LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• CONDUCT OF ANY THIRD PARTY ON THE SERVICES
• ANY OTHER MATTER RELATING TO THE SERVICES

In no event shall our total liability to you for all claims arising from or related to the Services exceed the greater of (a) the amounts paid by you to OLAMI in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless OLAMI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Services
• Your violation of any rights of a third party
• Your violation of any applicable law, rule, or regulation

12. Term and Termination

These Terms shall remain in full force and effect while you use the Services. We may suspend or terminate your rights to use the Services (including your account) at any time for any reason at our sole discretion, including for any use of the Services in violation of these Terms.

Upon termination of your rights under these Terms, your account and right to access and use the Services will terminate immediately. You understand that any termination of your account may involve deletion of your User Content associated with your account from our live databases.

OLAMI will not have any liability whatsoever to you for any termination of your rights under these Terms, including for termination of your account or deletion of your User Content.

Sections 5, 6, 9, 10, 11, 13, 14, and 15 shall survive any termination of these Terms.

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Florida, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and OLAMI regarding the Services and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
• Waiver: No waiver by OLAMI of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
• Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
• Force Majeure: OLAMI shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
• Notices: All notices required or permitted under these Terms shall be in writing and shall be delivered to you at the email address associated with your account, or to us at legal@olami.net.

15. Changes to Terms

We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes to these Terms, we will notify you by updating the "Last updated" date at the top of this page and, in some cases, we may provide you with additional notice (such as adding a statement to our homepage or sending you an email notification).

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.
